Prosta spółka akcyjna (P.S.A) jest nową, elastyczną i jak dotychczas najprostszą, poza jednoosobową działalnością gospodarczą osoby fizycznej, formą prowadzenia działalności gospodarczej. Ustawodawca do minimum ograniczył wymogi związane z założeniem i prowadzeniem spółki PSA, ułatwiając współpracę osób posiadających know-how z inwestorami dysponującymi kapitałem. Poniżej przedstawiamy 10 rzeczy, które powinien wiedzieć każdy przedsiębiorca na temat P.S.A:

  • Spółkę PSA można założyć przez Internet w 24 godziny w systemie S24 (link https://ekrs.ms.gov.pl/s24/strona-glowna) ;
  • Założyciele, wspólnicy PSA w zasadzie nie muszą posiadać żadnych środków pieniężnych, bowiem minimalny kapitał akcyjny wynosi 1 zł;
  • Akcje mają formę elektroniczną (zdematerializowaną), można je zbyć za pomocą środków komunikacji elektronicznej na odległość np: poprzez wiadomość e-mail;
  • Konieczne jest prowadzenie rejestru akcjonariuszy spółki;
  • Spółka nie może samodzielnie prowadzić rejestru akcjonariuszy, konieczne jest powierzenie czynności rejestrowych notariuszowi lub firmie inwestycyjnej;
  • Akcje można objąć za środki pieniężne, prace oraz świadczenie usług, co nie było możliwe w przypadku spółek kapitałowych (spółki z ograniczoną odpowiedzialnością oraz spółki akcyjnej);
  • Istnieje możliwość zabezpieczenia interesów założycieli spółki poprzez utworzenie akcji założycielskich;
  • Zmiana wysokości kapitału akcyjnego nie wymaga zmiany umowy spółki, co znacznie przyspiesza proces obniżenia/podwyższenia kapitału akcyjnego oraz minimalizuje jego koszty;
  • Istnieje możliwość wypłaty środków z kapitału akcyjnego, bez wymogu przeprowadzenia  skomplikowanej procedury obniżenia kapitału;
  •  Zamiast zarządu i rady nadzorczej można powołać radę dyrektorów tj. organ, zarządzający (dyrektorzy wykonawczy) jaki i sprawujący funkcję nadzorczą (dyrektorzy niewykonawczy).
